Contracts and Corporate Compliance Specialist Volunteers of America National Services (VOANS) is seeking a Contracts and Corporate Compliance Specialist for a hybrid position with 3 days in the office and 2 days remote.   • Coordinate and prepare annual report filing ensuring that corporate filings with the state are completed timely.
  • Prepare and file annual business license renewals; assist as needed in preparation and filing of franchise tax reports, sales tax exemption, charitable solicitations registration, and other routine corporate filings.
  • Assist/prepare board and committee meeting materials including coordinating communications with directors as needed for the Office of Legal Affairs.
  • Serve as point of contact for outside service of process vendor and work with finance department on invoicing process as needed.
  • Provide legal support and guidance related to affiliate charter compliance with legal, governance and other chartering standards and/or changes to a charter's organizational documents.
  • Gather signatures relating to Board resolutions, bank signatures, and other documents.
  • Coordinate semi-annual Non-Master Housing Board meetings including preparation of meeting notices, agendas, and preparation of meeting minutes and other Board meetings as necessary
  • Support attorneys in coordinating and facilitating annual conflicts of interest disclosure process.
  • Communicate with affiliates regarding entities' inclusion within the IRS group exemption
  • Gather list of all new subordinate entities nationally and affiliate owned from affiliates and the National housing development department.
  • Draft letters confirming inclusion in the group exemption for affiliate and national owned subordinate entities in the Volunteers of America group ruling.
  • Prepare annual IRS correspondence regarding entities included in the group ruling; periodic correspondence regarding newly formed or dissolved entities
  • Serve as the point of contact for the legal department for the Affiliate Chartering site.
  • Ensure affiliate charter compliance with legal and governance and other chartering standards by coordinating collection of affiliate governance document, including updates to affiliates articles and bylaws, charter agreements, license agreements, and litigation reports.
  • Respond to affiliate questions and information requests and connect affiliates to appropriate national office resources.
  • Build and maintain relationships with each affiliate's executive staff responsible for information requests for legal documents maintained on the Affiliate Chartering site.
  • In collaboration with human resources and risk management departments, develop and implement a system of tracking litigation and other potential claims.
  • Support risk management in coordinating legal representation in litigation matters.
  • Prepare litigation/potential litigation reports.
  • Serve as point of contact for Enterprise Risk Management surveys, updates and report, tracking status of cases and claims.
  • CSC system administration, training others on use of the system and troubleshooting.
  • Draft corporate documents for formation of legal entities including nonprofit corporations, LLCs and limited partnerships as well as filing related corporate filings required by state agencies including the dissolution of entities.
  • Research statutes, legal documents, judicial decisions, legal articles, codes, corporate information, public records, and other documents as requested; analyze research data.
  • Stay up to date on new databases and systems; attend trainings on new systems as needed. Requirements Required Qualifications:
    • Bachelor's degree from an accredited institution.
    • 3+ years in the field or in a related area.
    • Relies on extensive experience and judgment to plan and accomplish goals. Performs a variety of tasks.
    • Strong computer skills with experience in Microsoft Office, Word, Excel, Access, PowerPoint, Outlook, and Internet.
    • Exceptional attention to detail and highly organized.
    • A can-do, team-oriented attitude is essential, with the ability to interact with staff at all levels.
    • Must be customer-oriented, have strong problem-solving skills, interpersonal skills and have proven experience with relationship building.
    • Must have organizational and project management skills as well as excellent verbal and written communication skills.
    • Ability to work flexible hours.Preferred Qualifications:
